About the Role
AMCS is a global technology company providing innovative solutions to the environmental services industry through the AMCS Platform and AMCS’ EHSQ and ESG solutions. Our vision is to be the leading enabler of the Circular Economy, empowering environmental services operators and municipalities with a portfolio of innovative software and digital solutions. We are seeking an experienced Group Company Secretary to lead corporate governance and compliance across our international group. This is a pivotal role supporting our Board of Directors and ensuring seamless administration across all entities globally.
Key Responsibilities
Lead, manage and oversee the daily company secretarial administration of the company and its group entities worldwide to ensure that the company and its’ group entities comply with applicable company law, corporate governance and any additional duties that company directors may delegate.
Oversee daily company secretarial administration for the group and all subsidiary entities worldwide.
Liaising with the group's external advisors to ensure that each entity across the group complies with applicable law across all jurisdictions (as regards holding AGMs, EGM's filings, maintaining rules of procedure where required, keeping a central record of where company registers are held).
Draft and maintain minutes for board meetings, AGMs, and EGMs.
Manage and keep up to date statutory registers, including beneficial ownership registers and other ancillary or relevant documentation.
Assist finance team with ensuring timely filing of annual returns and statutory forms with the CRO.
Provide legal and administrative support to directors.
Handle KYC/AML requests and ad-hoc compliance matters
Develop and maintain company secretarial templates (such as such as board minutes), written resolutions and processes.
What We're Looking For
Essential:
3+ years' experience in a company secretarial role (private practice or in-house)
Strong knowledge of the Companies Act 2014
Excellent organisational and coordination skills
Proven ability to liaise effectively with internal teams and external advisors
Capable of working independently, in a fast-paced environment with minimum supervision and take initiative where appropriate.
be also a team player with proven ability to work with a broad range of divisions within the company.
Desirable:
Experience managing multi-entity corporate structures.
Understanding of international corporate governance requirements.
